Terms of Service

1. Acceptance of Terms

By accessing or using the REMi platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and REMi Inc. ("REMi," "we," "us," or "our").

2. Description of Service

REMi is a market-timing signal platform that provides algorithmic cycle scores, watchlists, and market data digests across crypto, stocks, ETFs, and commodities. The Service is designed to help investors identify potential market cycle conditions through data-driven indicators.

All content and signals provided by REMi are for informational purposes only and do not constitute investment advice, financial advice, trading advice, or any other type of advice. You should not rely on the Service as a substitute for professional financial or investment guidance.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service. By using REMi, you represent and warrant that you meet these requirements and that your use of the Service does not violate any applicable laws or regulations in your jurisdiction.

4. Account Registration

To access most features, you must create an account with a valid email address. You agree to:

• Provide accurate and complete registration information
• Keep your password confidential and not share it with third parties
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans & Billing

REMi offers the following subscription tiers:

Subscriptions are billed in advance on a monthly or annual basis. All fees are in USD and are non-refundable except as described in Section 7. By providing payment information, you authorize us to charge your payment method for all applicable fees.

Prices are subject to change with 30 days' notice. Founding Member pricing is locked for as long as the subscription remains active and is not subject to price increases.

6. Pay-Per-Use Credits

In addition to subscriptions, REMi offers pay-per-use add-ons:

• $2.99 per extra score check (beyond plan limit)
• $5.99 for 1-week alerts on a single ticker
• $9.99/mo unlimited alerts on a single ticker
• $9.99 per premium event report

Pay-per-use charges are non-refundable once the service has been rendered.

7. Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access to paid features through the end of your current billing period
• No partial refunds are issued for unused time in the current billing period
• Annual subscriptions canceled within 14 days of renewal may be eligible for a prorated refund at our discretion

8. Intellectual Property

All content on the Service — including but not limited to the REMi scoring algorithm, signal methodology, UI design, copy, logos, and data visualizations — is the exclusive property of REMi Inc. and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

9. Disclaimer of Warranties

REMi is not a registered investment advisor. Nothing on the Service constitutes investment advice, a solicitation, or a recommendation to buy or sell any security or asset. Market data, cycle scores, and signals are provided for informational purposes only. Past performance is not indicative of future results.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Prohibited Uses

You agree not to:

• Scrape, crawl, or systematically extract data from the Service
• Reverse-engineer or attempt to extract the scoring algorithm or underlying logic
• Share, resell, or redistribute any signals, scores, or content from the Service
• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to any portion of the Service or its infrastructure
• Use automated means (bots, scrapers, scripts) to access the Service without written permission

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or any conduct we deem harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections 8 (IP), 9 (Disclaimer), 10 (Liability), and 13 (Governing Law) survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. When we do, we'll revise the "Last updated" date at the top of this page and, for material changes, notify you by email or in-app notice. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
